Terms of Service

1. Agreement to Terms

By creating an account or using the MHEA platform at mhea.health, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use MHEA. These terms constitute a binding legal agreement between you and MHEA Inc.

2. What MHEA Is

MHEA is a remote patient monitoring and health information platform. MHEA is NOT a substitute for professional medical care. MHEA does not provide medical diagnoses, treatment recommendations, or prescriptions. All AI-generated content in MHEA is provided for informational purposes only and has been designed to avoid diagnostic or treatment language.

If you are experiencing a medical emergency, call 911 immediately. Do not rely on MHEA for emergency care.

3. Eligibility

• You must be at least 18 years old to create a MHEA account
• You must be a patient, parent, or authorized healthcare provider to access the applicable portal
• Healthcare provider accounts require verification of licensure
• Family member accounts require authorization from the patient

4. Your Account

You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately at support@mhea.health if you believe your account has been compromised. MHEA is not liable for any harm resulting from unauthorized account access due to your failure to maintain credential security.

5. Permitted Use

You may use MHEA only for its intended purpose: personal health monitoring, care coordination, and health information. You may not:

• Attempt to access health records of other patients without authorization
• Interfere with or disrupt the MHEA platform or its security features
• Use MHEA to transmit harmful, fraudulent, or illegal content
• Attempt to reverse engineer, decompile, or extract MHEA's source code
• Use MHEA for any commercial purpose other than as a licensed healthcare provider
• Attempt to bypass the AI compliance engine's safety guardrails

6. Health Information and AI

MHEA uses artificial intelligence to generate health flags, pre-appointment briefs, and informational responses. You acknowledge:

• AI-generated content is not medical advice and does not replace the judgment of your healthcare providers
• Health flags and alerts are intended to support, not replace, clinical decision-making
• AI systems can make errors; always consult your healthcare provider about your health
• MHEA's AI Compliance Engine is designed to prevent diagnostic language but may not be perfect

7. Wearable Devices

MHEA integrates with Withings, Fitbit, and Oura Ring devices. Accuracy of readings from these devices is governed by the device manufacturers' terms and warranties. MHEA is not responsible for inaccurate device readings. If you believe a reading is inaccurate, consult your healthcare provider.

8. Ubuntu Network and $Tembo Tokens

The Ubuntu Network is a blockchain-based medical record system. $Tembo tokens earned through MHEA participation have no guaranteed monetary value and are not securities. Token rewards may change or be discontinued. Your MATRIARCH health identity token is non-transferable and is tied to your verified patient identity.

9. Fees and Billing

MHEA is permanently free for patients. Remote Patient Monitoring services are billed to insurance under CPT codes 99454 and 99457 through your licensed provider. You are not charged for MHEA platform access. If you have questions about RPM billing, contact your insurance company or your care provider.

FSA/HSA funds may be used for eligible MHEA-related expenses including the Withings BP cuff and RPM services with a Letter of Medical Necessity from your provider.

10. Privacy and HIPAA

Your use of MHEA is governed by our Privacy Policy and HIPAA. We are a covered entity under HIPAA. Your health information is Protected Health Information and will be handled according to our Notice of Privacy Practices, which is incorporated into these Terms by reference.

11. Intellectual Property

MHEA, the Ubuntu Network, the MATRIARCH token architecture, the PIA platform, and the Makoto AI system are proprietary to MHEA Inc. and Synthexia Inc. These systems are protected by patents pending and copyright law. You may not copy, reproduce, or create derivative works from any MHEA technology.

12. Disclaimer of Warranties

MHEA IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT MHEA WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE MAKE NO MEDICAL WARRANTIES OF ANY KIND. YOUR USE OF MHEA IS AT YOUR OWN RISK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MHEA INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF HEALTH OUTCOMES, ARISING FROM YOUR USE OF OR INABILITY TO USE MHEA. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO MHEA IN THE 12 MONTHS PRECEDING THE CLAIM (WHICH FOR PATIENTS IS ZERO).

This limitation does not apply to liability for death or personal injury caused by our negligence, or any liability that cannot be excluded under applicable law.

14. Termination

You may terminate your account at any time through Settings → Account → Delete Account. We may suspend or terminate your account for violation of these Terms. Upon termination, your health data is handled according to our Privacy Policy retention schedule.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Maryland. Any dispute arising from these Terms or your use of MHEA shall be resolved by binding arbitration in Baltimore, Maryland, except that either party may seek injunctive relief in any court of competent jurisdiction. Class action waivers apply to the fullest extent permitted by law.

16. Changes to Terms

We may update these Terms at any time. We will notify you of material changes at least 30 days before they take effect through the MHEA app and email. Your continued use after the effective date constitutes acceptance.
